Terms and Conditions
1. Introduction
Welcome to StableCrowd. These Terms and Conditions govern your use of our platform and constitute a legally binding agreement between you and StableCrowd.
By accessing or using our platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the platform.
2. Definitions
Platform: The StableCrowd website and services.
Campaign: A fundraising project created by a Creator on our Platform.
Creator: A user who initiates a Campaign to raise funds.
Backer: A user who contributes funds to a Campaign.
Smart Contract: Self-executing contract with the terms of the agreement directly written into code on the blockchain.
3. Account Registration
To use certain features of the Platform, you must connect a compatible cryptocurrency wallet. You are responsible for maintaining the security of your wallet and all activity that occurs under your account.
You agree to provide accurate and complete information when connecting your wallet and to update your information as necessary to keep it accurate and complete.
4. Campaign Creation and Operation
Creator Responsibilities: Creators must provide accurate and truthful information about their Campaigns. Creators are solely responsible for fulfilling any promises, rewards, or obligations associated with their Campaigns.
Campaign Parameters: Campaigns must have a minimum duration of 1 hour. Creators may cancel a campaign before any contributions are made.
Platform Role: StableCrowd provides the technology to facilitate crowdfunding through smart contracts but does not guarantee the quality, safety, or legality of Campaigns. We do not endorse any Campaign by allowing it on our Platform.
Campaign Funds: All funds are managed through smart contracts on the blockchain. StableCrowd does not hold or manage campaign funds directly.
5. Backing a Campaign
When you back a Campaign, you are making a financial contribution to support that project. You understand that:
- You are not purchasing a product or service but supporting the development of a project.
- Campaign timelines and outcomes may differ from what was originally proposed.
- Your contribution will be processed through a smart contract on the blockchain.
- Campaigns that reach at least 75% of their funding goal by the deadline are deemed successful; creators can withdraw funds after a 4% platform fee is automatically deducted.
- Campaigns that raise less than 75% of their goal are deemed failed; backers can request a refund through the smart contract, subject to a 4% fee deducted at refund time.
6. Prohibited Activities
You agree not to use the Platform to:
- Violate any laws or regulations.
- Infringe upon the rights of others.
- Create fraudulent Campaigns or misrepresent information.
- Interfere with the proper functioning of the Platform or its smart contracts.
- Engage in any activity that could harm the Platform, its users, or its reputation.
7. Blockchain Risks
You acknowledge and accept the inherent risks associated with blockchain technology, including:
- Blockchain transaction fees and potential fluctuations.
- Irreversibility of blockchain transactions.
- Potential smart contract vulnerabilities or bugs.
- Cryptocurrency value volatility.
- Potential regulatory changes affecting blockchain operations.
8. Intellectual Property
Content you post on the Platform remains your property, but you grant StableCrowd a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute it for the purpose of operating and promoting the Platform.
StableCrowd's name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of StableCrowd or its affiliates. You may not use these without our prior written permission.
9. Limitation of Liability
To the maximum extent permitted by law, StableCrowd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, resulting from:
- Your use or inability to use the Platform.
- Any conduct or content of any third party on the Platform.
- Any content obtained from the Platform.
- Unauthorized access, use, or alteration of your transmissions or content.
- Smart contract failures or issues.
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of these Terms and/or by a notice on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved by courts located in the British Virgin Islands.
